HomeMy WebLinkAboutReso - CC - 064-2018RESOLUTTON NO. 064-201 8 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF BURLINGAME APPROVING THE RENEWAL OF A FIVE-YEAR AGREEMENT wlTH VEOLIA WEST OPERATING SERVTCES (VWOS) FOR THE OPERATTON AND MATNTENANCE OF THE WASTEWATER TREATII'IENT FACILITY WHEREAS, the CITY has jurisdiction over the wastewater treatment plant located in Burlingame (hereinafter called the FACILITY); and WHEREAS, it is in the public interest that the FACILITY continue to be operated in the most efficient and safe manner possible, while complying with all laws; and WHEREAS, the CITY and \/VVOS have had an agreement for the operation and maintenance of the FACILITY for forty-five (45) years; and WHEREAS, staff has compared the CITY's cost for wastewater treatment services with the costs paid by other jurisdictions on the Peninsula and determined that the operational cost for M/VOS is substantially lower than the average cost per million gallon treatment of wastewater; and WHEREAS, based on staffls comparison of the wastewater operations costs for other jurisdictions, the valuable community services provided to the ClTy and outstanding performance in delivering these services, staff recommends approval of lhe agreement renewal with MA/OS. NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF BURLINGAME RESOLVES AND ORDERS AS FOLLOWS: 2. W1IOS shall perform the stormwater inspection for the vrastewater treatment facility. vwOS shall monitor the gas collection system at the landfill for proper operation and gas production of carbon dioxide and methane. TERM The contract term shall commence on JuIy L, 2018 and expire five(5) years thereafter unless renewed in accordance with SectionVIII-A. Prior to each renewal, the City will work with vwOS in completj-ng reasonableness cost review to verify that the City, swastewater treatment costs are comparable to other focaf corununities with similar demographics and similar treatment plantfacil,ities. This study will recognize value-added servicesprovided to the City by VWOS. This contract may be renewed pursuant to provisions in SectionVIII-A of this contract. Faeility Scope vwOS shall operate and maj-ntain the treatment processes thatinclude, but are not l-imited to, screening, grit removal, primary clarification, activated studge, secondary clarification, chlorination, gravity thickening, anaerobic biosolids digestion,solids dewalering, odor control systems, reclaim water system, and cogeneration facil-ities, Final effluent pumping and de- chlorination systems will- be operated as necessary. VWOS sha1l also operate and maintain the Rollins Road pump station at 1079Rollins Road and the valves and force main located between the Main Pump Station and the EACILITY. VWOS shall provide a complete assessment of the valves and force main l-ocated between the Main Pump station and shall submit to theCity a budget for aII required repairs or replacements by secondyear of the five-year contract term. It is understood that aLl repairs and replaeements will be successfully cornpleted by VWOSeither as a capital or maintenance repair project. B. Staff,ing W{OS shal] staff the FACIIITY with qualified empfoyees experienced in waatewater treatment process control and maj-ntenance procedures. It is the intention of VWOS to make operation of the Treatment Plant a model facility for the San Francisco Bay and surrounding area. It is agreed to by both part.ies that the City wilJ- retain funds developed with this rolling five (5) year Capital Improvement plan, but that VWOS shal1 direct and manage alL projects within the fund as required to ensure compliance with aI]. water quality permits for the FACILITY for which WOS is responsible. K. Plant Loading8 VWOS agrees to maintain copies of plan! loading and performance data over the term of this Agreement. Repolts L) Monthly - VWOS shall provide the CITY with nonthly repolts that sunmarize capital outlay and capital improvement activities. wlOS shalL provide an accounting summary of monthly capital outlay and capitaL improvement expenditures. 2) Annual - VWOS sha1l ptovide the CITY with an annualreport by January 31 of each year that surnmarizes pl-ant performance and major events and activities which affected the operation of the FACILITY. 4) An annual meeting will be hefd between the City and VWOS to review facility performance in relation to contractual indices.and triggers. The meeting will be conducted prior to March l- and will focus on data collected over the previous calendaryear. vvlos sha11 prepare for City a report that reviews data collected over the preceding year and wiII summarize the emerging lrends. The City and VWOS agree that they wiII negotiate in good faith to reach an equitable adjustment to compensation, including overhead and profit, refLecting such cost of increases or decreases. The freguency for the analyses $ou1d be determined by an event or faj-Iure of 1ab services provided by others to the city. 2l Sampling - Perform the sanpling and analysis for Priority Poll-utants, Monthly Metals, Toxicity Iesting, semi-Annual Sludge Testing, and Waste Minjrizat.ion Program. North Bayaide Syeten Unit (NBSU) The North Bayside System Unit (NBSU) is the Joint Powers Authority responsible for operation of certa.in shared transport and disposalfacilities. The NBSU provides de-chlorination and effluent disposal services for four rnunicipal wastewater treatment plants: Burlingame, MilLbrae, SF Airport, and South San francisco/San Bruno. The joint effluent is de-chlorinated prior to dischargeinto San Erancisco Bay. vwOS shall monitor and report, to the City any changes j-n the lToint Powers Authority. VWOS shall operate theFacility in a manner that conforms to effluent parameters setforth in the treatment plant's NPDES permit #CA0037788. VvgOS shau attend NBSU meetings and keep the City appraised of pertinent issues. vrlos shall assist the City in the eva.Iuation process invol,ved with annual maintenance and repairs of the NBSU line. VWOS shall assist the City with development of SOP's for p.Ianned and emergency shutdown procedures of the NBSU 1ine. VWOS understands that its professional responsibilities are soIe1yto the CITY. VWOS has not and shall not obtain any business holdings or financial interest in the City of Burlingame. VWOS has no business holdings or agreements with any ind.ividual mehber ofthe Staff or management of the CITY or its representatives nor shall it enter lnto any such holdings or agreements with suchindividuals. In addition, VWOS warrants that it does not presentLy and shaII not acquire any direct or indirect financial interest adverse to those of the CITY in the subject of this Agreement, andit shall immediately disassociate itself from such an interest should it discover it has done so and sha]l, at the CITY'S sol-ediscretion, divest itsel-f of such interest. vilos shal-l- not knowingJ-y and shall take reasonable steps to ensure that it doesnot employ a person having such an interest in this performance ofthis Agreement. If after employment of a person, VWOS discovers it has employed a person with such direct or indirect interest, VWOS shall promptly notify CITY of this emplolment relationship. and sha11, at the CfTY's sole discretion, sever any such emplolrmentrelationship, or at the discretion of VWOS, no Ionger employ thatlndividual in the performance of the Agreement. The term "financial interest, " as used in this Paragraph, does not include this Agreement, or any obfigations undertaken by WOS pursuant tothe Agreement, or any litigation, lawsuits or claims that may arise from VWOS's operations under this Agreement. CompeEsation Effective July 1, 2018, the CITY shall pay to vwos as compensation for the services performed, the sum of 528L,353 based on the CPf-w increase for San Francisco Bay area as published for the month of February 2018 by the U.S. Department of Labor, Bureau of Labor Statistics. This compensation amount sha1l be payable at the first of each month the services are to be rendered. compensation will be subject to annual adjustment as described in Attachment A. Palrment to Vwos for this and all- other compensation or reimbursement arising from other provisions of this Agreement shall be made within twenty (20) days after receipt of invoice. Late pal.ments in excess of 20 days will be subject to a service charge of 1.5U per month or maximum 1egal rate, whichever is less. rt is agreed and understood that the process for pal.ment provj-ded in this Agreement is intended to accommodate an ongoing system. Therefore, it is expected that the City sha11 pay compensation under this section that the City may dispute in either amount or extent, and that pal.ment by the city sha11 not be interpreted to waive any rights the City may assert to dispute the amounts claimed by vwos through the dispute resolution process of this Agreement or other!'ri se . To the extent that any portion of the compensation described herein violates applicable law or the terms of any existing debt, bonds, grants or other financing or debt incurred by the CITY prior to the effective date reLating to any of the FACILITY, vwos and the CITY shall adjust the compensation to compl-y wj-Lh such applicable law or the terms of such existing debts, bonds, grants or other financing or debt, as applicabfe, in order to provide vwos witsh the amount of compensation contemplated under this Agreement.
