HomeMy WebLinkAboutReso - CC - 013-2025RESOLUTION NO. 013-2025 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF BURLINGAME AUTHORIZING THE CITY MANAGER TO EXECUTE A FIRST AMENDMENT TO THE PROFESSIONAL SERVICES AGREEMENT WITH GROUP 4 ARCHITECTURE TO PROVIDE PRELIMINARY ARCHITECTURAL SERVICES FOR A NEW CITY HALL, TO EXTEND THE TERM AND INCREASE THE NOT-TO-EXCEED AMOUNT BY $5,000 TO $23,489.45 AND AUTHORIZING THE CITY MANAGER TO NEGOTIATE AND EXECUTE ADDITIONAL AMENDMENTS WHEREAS, the City Council has a long-standing goal of constructing or purchasing a new City Hall facility to meet the news of the community, Council, and staff; and WHEREAS, after the Council’s 2023 goal-setting session, the City Council established the City Hall Ad-Hoc Subcommittee to explore the financing and construction of a new City Hall; and WHEREAS, on June 20, 2023, the City issued a Request for Proposals soliciting consultant assistance from an architecture firm and a real estate advisor for the new City Hall project; and WHEREAS, on August 23, 2023, the City executed an Agreement for preliminary architectural services pursuant to Resolution No. 108-2023; and WHEREAS, Group 4 completed work on the Existing City Hall Conditions Report, New City Hall Space Needs Assessment Report, New City Hall Preliminary Cost Estimate, and diagrams of multiple potential City Hall sites; and WHEREAS, Group 4 completed “bubble diagrams” to map out how City departments would fit into existing office space that could serve as City Hall; and WHEREAS, on May 31, 2024, the Agreement with Group 4 expired; and WHEREAS, on September 4, the City executed a new Agreement for preliminary architectural services pursuant to Resolution No. 108-2024; and WHEREAS, Staff is pleased with the work product provided by Group 4 and desires to retain Group 4 to complete additional work. NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF BURLINGAME RESOLVES AS FOLLOWS: The City Manager is authorized to execute a First Amendment to the Professional Services Agreement with Group 4, in the form attached hereto, to complete additional preliminary architectural services, for an amount not-to-exceed $23,489.45, and to extend the term for an additional six months to September 1, 2025. Further, the City Manager is authorized to negotiate additional amendments to the Professional Services Agreement, except that the City Council must approve any amendments that increase the not-to-exceed amount. Michael Brownrigg, Vice Mayor Docusign Envelope ID: F1D2CD84-0A43-456F-8065-560DD4D167FB I, Meaghan Hassel Shearer, City Clerk of the City of Burlingame, certify that the foregoing Resolution was introduced at a regular meeting of the City Council held on the 18th day of February 2024, and was adopted thereafter by the following vote: AYES: COUNCILMEMBERS: COLSON, BROWNRIGG, PAPPAJOHN, THAYER NOES: COUNCILMEMBERS: NONE ABSENT: COUNCILMEMBERS: STEVENSON Meaghan Hassel Shearer, City Clerk Docusign Envelope ID: F1D2CD84-0A43-456F-8065-560DD4D167FB 1 First Amendment to Professional Services Agreement by and Between the City of Burlingame and Group 4 Architecture This First Amendment to the Professional Services Agreement (“First Amendment”) is made this XX day of February, 2025, by and between the City of Burlingame, a public agency organized and operating under the laws of the State of California with its principal place of business at 501 Primrose Road, Burlingame, CA 94010 (“City”), and Group 4 Architecture, Research + Planning, INC., a California corporation with its principal place of business at 211 Linden Avenue, South San Francisco, CA 94080 (hereinafter referred to as “Consultant”), for the purpose of amending the scope and increasing the not-to-exceed amount Recitals A. The City and Consultant, each a “Party” and collectively the “Parties,” entered into that certain Professional Services Agreement dated September 4, 2024 (“Agreement”), wherein Consultant agreed to provide preliminary architectural services. B. The Agreement will expire on March 1, 2025. The not-to-exceed amount of the Agreement is $18,489.45. C. The City and Consultant now desire to extend the term of the Agreement by six months. This First Amendment will also increase the not-to-exceed amount by $5,000, to a total of $23,489.45. Now therefore, for good and valuable consideration, the amount and sufficiency of which is hereby acknowledged, the Parties agree as follows: 1. Section 2(b) of the Agreement (“Compensation”) is amended in full to read as follows: “In no event shall the total amount paid for services rendered by Consultant under this Agreement exceed the sum of $23,489.45. This amount is to cover all printing and related costs, and the City will not pay any additional fees for printing expenses. Periodic payments shall be made within 30 days of receipt of an invoice which includes a detailed description of the work performed. Payments to Consultant for work performed will be made on a monthly billing basis.” 2. Section 5 of the Agreement (“Term”) is hereby amended to extend the term of the Agreement through September 1, 2025. 3. All other provisions of the Agreement shall remain unchanged. 2 In witness whereof, the Parties have entered this First Amendment on the date written above.
