RESOLUTION GRANTING CONSENT TO THE TRANSFER
OF CONTROL OF CAPITAL CITIES PACIFIC CABLE,
INC.FROM CAPITAL CITIES COMMUNICATIONS, INC.
TO THE WASHINGTON POST COMPANY
WHEREAS, Capital Cities Pacific Cable, Inc. is a cable
television franchisee in Burlingame, and Capital Cities Pacific
Cable, Inc. is a wholly-owned subsidiary of Capital Cities Comm-
unications, Inc.("Capital Cities"); and
WHEREAS, The Washington Post Company ("Post Company") has
agreed to purchase all of Capital Cities' stock in Capital Cities
Pacific Cable, Inc., subject to such prior governmental approval
as may be required; and
WHEREAS, the Post Company has shown its financial respons-
ibility and has agreed that its subsidiary will comply with all
applicable terms, conditions and obligations of the franchise and
related ordinances, currently in effect; and
WHEREAS, consent has been requested as to the proposed
transaction;
NOW, THEREFORE, BE IT RESOLVED .that consent is hereby
granted, as requested, pursuant to Paragraph 6.48.050 (f) of the
Burlingame Television Ordinance No. 1173, to enable the parties
to proceed with the transfer of control of Capital Cities Pacific
Cable, Inc. from Capital Cities to the Post Company.
