RESOLUTION OF THE CITY COUNCIL
OF THE CITY OF BURLINGAME
CONSENTING TO THE TRANSFER OF WHEELABRATOR EOS INC.
FROM WHEELABRATOR CLEAN WATER, INC.
TO UNITED STATES FILTER CORPORATION
RESOLVED, by the City Council of the City of Burlingame:
WHEREAS, on August 15, 1994, the City entered into an agreement with Wheelabrator
EOS Inc., a wholly owned subsidiary of Wheelabrator Clean Water, Inc., for provision of
management and operation of the City's Wastewater Treatment Plant [Agreement], and the
Agreement has been amended twice since 1994; and
WHEREAS, Wheelabrator Clean Water, Inc. has agreed to transfer Wheelabrator EOS, Inc.
to United States Filter, Inc.
WHEREAS, United States Filter is a financially responsible company that is experienced in
the management and operation of wastewater treatment plants throughout the United States; and
WHEREAS, Wheelabrator EOS Inc. has requested the City to formally consent to this
transfer in order to ensure that the terms of the Agreement is fully complied with, and the City is
willing to do so,
NOW, THEREFORE, BE IT RESOLVED, that:
1. The City Council hereby consents to the transfer of Wheelabrator EOS Inc. from
Wheelabrator Clean Water, Inc. to United States Filter Corporation.

that the foregoing resolution was introduced at a regular meeting of the City Council held on the
19th day of MARCH 1997, and was adopted thereafter by the following vote:
