RESOLUTION OF THE CITY COUNCIL OF THE CITY OF BURLINGAME
APPROVING AGREEMENT WITH THE COUNTY OF SAN MATEO TO PROVIDE
DISPATCH SERVICES FOR FIRE SUPPRESSION
RESOLVED, by the City Council of the City of Burlingame:
WHEREAS, the City has entered into a Joint Powers Agreement to provide county -wide
paramedic services through the cities and fire districts in the County; and
WHEREAS, as part of that JPA, central dispatching services are required for all paramedic
service through the County of San Mateo; and
WHEREAS, the County of San Mateo is also willing to provide dispatch services to the City
for fire suppression responses; and
WHEREAS, combining fire dispatch for both paramedic and fire suppression services would
be in the public interest,
NOW, THEREFORE, IT IS RESOLVED AND ORDERED:
1. The City Manager is authorized and directed to execute the the Agreement between the
City and the County of San Mateo for fire suppression dispatch services as contained in Exhibit A
hereto.
2. The Clerk is directed to attest to the signature of the Manager.

AGREEMENT FOR FIRE SUPPRESSION DISPATCH SERVICES
THIS AGREEMENT is entered into this day of 1999, by and
between the City of Burlingame, State of California, herein called the "City", and the County of San
Mateo, State of California, herein called the "County."
RECITALS
A, The County is providing dispatch services for medical calls pursuant to a series of agreements
between the County, the County ambulance provider, the San Mateo County Pre -Hospital
Emergency Medical Services Group, and various cities and fire protection districts.
B. The cities and fire protection districts have also developed operating agreements to provide
fire suppression services.
C. The County is willing to provide dispatch services to the City as part of this county -wide
operating services plan, and the community would be well -served by a dispatch service that
combined both medical and fire suppression responses by the City Fire Department.
AGREEMENTS
NOW, THEREFORE, THE PARTIES HERETO AGREE AS FOLLOWS:
Scope of Services. The County shall provide dispatching and communication services for the
City Fire Department fire suppression responses on a seven (7) day a week, twenty-four (24)
hour a day basis. These services shall include but not be limited to: emergency telephone
answering, personnel and equipment notification, station alerting, and equipment dispatching.
2. Sole Responsibility. County shall be responsible for employing or engaging all persons
necessary to perform the dispatch services under this Agreement_
3. Information/Report Handling. All documents furnished to County by the City and all reports
and supportive data prepared by the County under this Agreement are the City's property and
shall be delivered to the City upon the completion of County's services or at the City's written
request. All reports, information, data, and exhibits prepared or assembled by County in
connection with the performance of its services pursuant to this Agreement are confidential
until released by the City to the public unless otherwise provided by law, and the County shall
not make any of the these documents or information available to any individual or
organization not employed by the County or the City without the written consent of the City
before such release unless otherwise required by law. The City acknowledges that the reports
to be prepared by the County pursuant to this Agreement are for the purpose of performing

specific duties and obligations, and City's use of the information contained in the reports
prepared by the County in connection with other projects or services shall be solely at City's
risk, unless County expressly consents to such use in writing. City further agrees that it will
not appropriate any methodology or technique of County which is and has been confirmed
in writing by County to be a trade secret of County.
4. Compensation. Compensation for County's services under this Agreement shall be as
follows:

5. Payment. County will invoice the City on a quarterly basis for one-fourth of the annual
amount. However, for the 1998-1999 year only, there shall be a single invoice for the full
annual amount due. Invoices shall be issued in by the first of the following months: June,
September, December, and March. City shall pay the quarterly amount due within thirty (30)
days of the date of the invoice.
6. Assignability and Subcontracting. The services to be performed under this Agreement are
unique and personal to the County. No portion of these services shall be assigned or
subcontracted without the written consent of the City.
7. Notices. Any notice required to be given shall be deemed to be duly and properly given if
mailed postage prepaid, and addressed to:

Independent Contractor. It is understood that the County, in the performance of the work
and services agreed to be performed, shall act as and be an independent contractor and not
an agent or employee of the City. Nothing contained in this Agreement shall be construed
as creating or intending to create a joint powers agency of any kind.

9. Waiver. No failure on the part of either party to exercise any fight or remedy hereunder shall
operate as a waiver of any other right or remedy that party may have hereunder, nor does
waiver of a breach or default under this Agreement constitute a continuing waiver of a
subsequent breach of the same or any other provision of this Agreement.
10. Term of Agreement. This Agreement shall run through June 30, 2000- The City and the
County shall have the right to terminate this agreement with or without cause by giving not
less than one hundred twenty (120) days written notice of termination.
11. Amendment. No modification, waiver, mutual termination, or amendment of this Agreement
is effective unless made in writing and signed by the City and the Consultant.
12. Entire Agreement, This Agreement constitutes the complete and exclusive statement of the
Agreement between the City and County.
IN WITNESS WHEREOF, the City and County have executed this Agreement as of the date
indicated on page one (1).
