RESOLUTION NO. 154-2020
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF BURLINGAME
ACCEPTING AN EASEMENT AGREEMENT FOR PUBLIC UTILITIES, CITY WATER
METER AREAS, AND SIDEWALK AREAS ALONG THE NEW REALIGNMENT OF
AIRPORT BOULEVARD
WHEREAS, Burlingame Point LLC, a Delaware limited liability company is the fee
owner of a real property located 300, 301, 311, 322, 333 Airport Boulevard (Project), APN 026-
350-180 and 026-350-190;
WHEREAS, the Project constructed certain off -site public improvements, including, but
not limited to, the relocation and realignment of Airport Boulevard;
WHEREAS, on or about November 30, 2020, the owner completed the realignment of
Airport Boulevard and related public improvements;
WHEREAS, in connection with the realignment of Airport Boulevard, certain utilities and
public improvements were constructed on private property as shown in Exhibit A due to design
constraints;
WHEREAS, in order for the City and utility companies to access these areas for repair
and maintenance, as well as provide public access, the owner desires to grant the City an easement
over portions of the property;
NOW, THEREFORE, BE IT RESOLVED, that the City Council determines and orders
as follows:
Section 1. The Director of Public Works has reviewed the Easement Agreement and
associated exhibits and they meet the City's needs.
Section 6. The City Manager is hereby authorized to take any and all actions necessary,
and execute any and all documents required to effectuate the purposes and effect of this Resolution.

EASEMENT AGREEMENT
This Easement Agreement (this "Agreement") dated ("Effective Date"), is
made by and between BURLINGAME POINT LLC, a Delaware limited liability company
("Grantor"), and the CITY OF BURLINGAME, a municipal corporation organized and existing
under the laws of the State of California ("Grantee"), each a "Party" and collectively the "Parties,"
with reference to the following facts:
A. Grantor is the fee owner of the real property located at 300 Airport Boulevard, City
of Burlingame, County of San Mateo, State of California, as more particularly described in Exhibit
A and depicted in Exhibit A-1 (the "Property");
B. On June 18, 2012, the Burlingame City Council approved an application for the
development of a new office/life science campus, including 767,000 square feet of new office or
life science uses, retail and restaurant uses in four buildings, a two-story amenities building, and
parking structure, as well as associated site improvements (collectively, the "Project") at the
Property, subject to the Development Agreement dated June 18, 2012, and certain other conditions
of approval, as subsequently amended from time to time (collectively, the "Project Approvals");
C. The Project Approvals require, among other things, that Grantor construct certain
off -site public improvements, including, but not limited to, the relocation and realignment of
Airport Blvd.;
D. On or about November 30, 2020, Grantor completed the realignment of Airport
Blvd. and related public improvements;
E. In connection with the realignment of Airport Blvd., certain utilities and public
improvements were required to be constructed by Grantee to facilitate the development and use of
the Property by Grantor and the realigned Airport Blvd.;
F. Grantor desires to grant to Grantee a utility easement over portions of the Property
for the use, repair and maintenance of public utilities and a right-of-way easement over portions
of the Property for the use, pedestrian access easement for public sidewalk, all on the terms and
conditions provided herein.
NOW, THEREFORE, for valuable consideration, the receipt of which each of the Parties
does hereby acknowledge, the Parties do hereby agree as follows:
1. Grant of Easements. Grantor hereby grants to Grantee (i) a nonexclusive easement
for the installation, repair, reconstruction, reinstallation, maintenance, and operation of public
utilities (the "Utility Easement'), upon the portion of the Property more particularly described in
Exhibit B and depicted in Exhibit B-1 (the "Public Utility Easement Area"), (ii) a nonexclusive
easement for the installation, repair, reconstruction, reinstallation, maintenance, and operation of
water meters (the "Water Meter Easement'), upon the portion of the Property more particularly

described in Exhibit C and depicted in Exhibit C-1 (the "Water Meter Easement Area"), and (iii)
a nonexclusive easement for public access to the sidewalks for use by the public (the "Sidewalk
Easement", and together with the Utility Easement and Water Meter Easement, collectively, the
"Easements"), upon the portion of the Property more particularly described in Exhibit D and
depicted in Exhibit D-1 (the "Sidewalk Easement Area," and together with the Public Utility
Easement Area and the Water Meter Easement Area, collectively, the "Easement Areas").
2. Reservation. Notwithstanding the foregoing, Grantor hereby reserves unto itself
and its successors and assigns the continued right to use the Easement Areas consistent with the
terms of the preceding paragraph. Grantor agrees for itself, its successors and assigns not to erect,
place, or maintain, nor to permit the erection, placement, or maintenance of, any buildings,
structures, or similar improvements upon the Easement Areas that would interfere with Grantee's
use of the Easement Areas or the public's use and enjoyment of the Sidewalk Easement Area.
3. Encroachments. The Easements are subject to the encroachment of all existing
utilities and improvements on, over, and under the Easement Areas and all future utilities and
improvements constructed or installed on or around the Easement Areas, provided such future
encroachments do not unreasonably interfere with Grantee's and the public's use and enjoyment
of the Easements.
4. Term. The Easements are granted in perpetuity.
5. No Dedication. Except as otherwise provided in this Agreement, the Easements are
granted for the benefit of Grantee and the public, as applicable; provided, however, that nothing
herein shall be deemed to be a dedication of the Easement Areas to Grantee.
6. Condition of the Easement Areas. Grantee accepts the Easement Areas in their
existing physical condition, without warranty as to their suitability for Grantee's purposes.
7. Maintenance. The Parties' respective maintenance responsibilities in connection
with the Easement Areas are set forth in the Site Maintenance Agreement dated June 6, 2018,
attached hereto as Exhibit E (the "Site Maintenance Agreement"). Nothing in this Agreement
shall be construed to supersede or otherwise alter, amend, expand, or limit the terms of the Site
Maintenance Agreement. In the event that there is an inconsistency between this Agreement and
the Site Maintenance Agreement pertaining to operation and maintenance of the Easement Areas,
the Site Maintenance Agreement shall control.
8. Indemnification. Grantee shall indemnify, defend, and hold harmless Grantor, its
officers, directors, shareholders, employees, agents, successors, and assigns from and against any
and all liability, loss, damage, expense, claim, or demand of whatsoever character, direct or
consequential (collectively, "Claims"), that may arise out of or in connection with the exercise by
Grantee of any of its rights granted under this Agreement, including Grantee's operations upon
the Easement Areas, whether such operations be by Grantee or by any one or more persons
employed by or acting as agent for Grantee, or the use by the public of the Sidewalk Easement
Area, except any Claims arising solely from the gross negligence or willful misconduct of Grantor
or its agents, contractors, or employees.

9. Amendment. This Agreement may be amended or otherwise modified only in a
writing signed and acknowledged by Grantor and Grantee, or the successors and assigns of each.
10. Governing Law. This Agreement shall be governed by and construed in accordance
with the laws of the State of California.
11. Counterparts. This Agreement may be executed in any number of counterparts,
each of which shall be entitled to be the original and all of which shall constitute one and the sane
agreement.
12. Notice. Any notice given under this Agreement shall be in writing and given by
delivering the notice in person or by first class, postage prepaid, certified mail, addressed as
follows:

All notices required by this Agreement shall be deemed given, received, made, or communicated
(i) if by personal service, on the date personal receipt actually occurs or, (ii) if mailed, on the
delivery date or attempted delivery date shown on a return receipt. Any Party may change the
address stated herein by giving notice thereof to the other Party at least ten (10) days prior to the
effective date of the address change, and thereafter notices shall be addressed and transmitted to
the new address. Notices and communications with respect to technical matters in the routine
performance and administration of this Agreement shall be given by or to the appropriate
representative of a Party by such means as may be appropriate to ensure adequate communication
of the information, including written confirmation of such communication where necessary or
appropriate.

13. Representations and Warranties. This Agreement has been duly authorized by all
necessary action on the part of Grantee and no other action on the part of Grantee is necessary to
authorize the execution and delivery of this Agreement.
14. No Third -Party BeneficiarX. No obligation of a Party under this Agreement is
enforceable by, or is for the benefit of, any other third parties. The provisions of this Agreement are
for the exclusive benefit of the Parties hereto and their respective successors and assigns and not
for the benefit of any third person, nor shall this Agreement be deemed to have conferred any
rights, express or implied, upon any third person.
15. Severability. If any provision of this Agreement shall be invalid or unenforceable,
the remainder of this Agreement shall not be affected thereby, and each provision of this
Agreement shall be valid and enforced to the full extent permitted by law, provided the material
provisions of this Agreement can be determined and effectuated.
16. Entire Agreement. This Agreement constitutes the entire agreement of the Parties
with respect to the matters contained herein and supersedes any other negotiations, agreements, or
understandings between the Parties pertaining to the easements described herein, other than the
Site Maintenance Agreement. Any oral representations or modifications concerning this
Agreement shall be of no force or effect.
17. Easements to Run with the Land. The Property shall be burdened by the Easements,
which burden shall run with the land and the title to the Property and shall be binding on any future
owners and encumbrancers of the Property, or any part thereof, and their successors and assigns.
18. Survival. All representations, warranties, waivers, and indemnities given or made
hereunder shall survive any termination of this Agreement.

SITE MAINTENANCE AGREEMENT
Burlingame Point, 300 Airport Boulevard
This Site Maintenance Agreement ("Agreement") is made and entered into effective as of
2019 ("Effective Date"), by and between BURLINGAME POINT, LLC, a California
limit iability company (`Burlingame Point"), and the CITY OF BURLINGAME, a California
municipal corporation ("City," and collectively with Burlingame Point, the "Parties") with reference to
the following facts:
RECITALS
A. Burlingame Point is the current fee owner of that certain real property consisting of
approximately 18.13 acres located at 300 Airport Boulevard within the City of Burlingame, County of
San Mateo, State of California, described in Exhibit A, attached hereto (the "Property").
B. On June 18, 2012, the Burlingame City Council approved an application for the
development of a new office/life science campus, including 767,000 square feet of new office or life
science uses, retail and restaurant uses in four buildings, a two-story amenities building, and parking
structure, as well as associated site improvements including improvements to the Bay Trail and
enhancements to the Sanchez Channel Shoreline (the "Project"), subject to certain conditions of approval
as set forth in the City's Resolution approving the Project. The City Council also certified the Final
Environmental Impact Report prepared for the Project and, among other actions, approved a Development
Agreement by and between the City and Burlingame Point's predecessor -in -interest, 350 Beach Road,
LLC, dated June 18, 2012 (the "Development Agreement").
C. On August 22, 2016, the Burlingame Planning Commission approved a Design Review
Amendment application and Environmental Impact Report Addendum for the Project, which provides for
certain adjustments to building locations and footprints, and changes to building forms and architectural
treatments as described in the July 29, 2016, plans attached to the staff report for the Planning
Commission's hearing (the "2016 Plans"). In approving the Design Review Amendment application, the
Planning Commission adopted conditions of approval as set forth in that certain document entitled
Conditions of Approval for Commercial Design Review Amendment dated August 18, 2016 (the
"Conditions of Approval").
D. The Conditions of Approval require Burlingame Point to enter into a Site Maintenance
Agreement. Specifically, the Conditions require that (i) the Project "shall include installation and
maintenance of the Bay Trail and Sanchez improvements as shown in the submitted plans," (ii) that the
project sponsor "enter into a Site Maintenance Agreement with the City for maintenance of all landscape,

sidewalk, medians, bollards and sump pumps for stormwater improvements as well as roadway
improvements that do not conform to city standards, such as the proposed roadway intersections, with the
exception of any newly installed traffic signals. Section 4.1(i) of the Development Agreement further
provides that, "Developer shall maintain all sidewalks, median strips, landscaping elements, walkways,
special pedestrian crossing treatments in the roadway, drainage facilities, Open Space Improvements and
Bay Trail Improvements shown on Exhibit H [to the Development Agreement]." Collectively, this
Agreement refers to these obligations as the "Maintenance Obligations." Some of these improvements
are located within the Property, while others are located within the existing City rights -of -way. The
Conditions further require that the Site Maintenance Agreement be approved prior to issuance of the
building permit for the Project (i.e., which, in the context of this Agreement, the Parties agree refers to the
architectural permit for the Project).
E. The City and Burlingame Point desire to enter into this Agreement for the purpose of
assuring the maintenance, periodic inspection, repair, safe operation and, if and when necessary,
replacement of certain improvements by Burlingame Point at its expense in order to satisfy the
Maintenance Obligations.
AGREEMENT
NOW, THEREFORE, in consideration of the terms and conditions of this Agreement, the
Parties agree as follows:
1. Obligation to Maintain the Improvements in First -Class Condition. Burlingame
Point, at its sole expense, shall be responsible for the maintenance, periodic inspection, repair, resurfacing
and, if and when necessary, replacement of the pedestrian pathways and plazas, open space and landscape
improvements, Bay Trail improvements and enhancements to the Sanchez Channel Shoreline, sidewalk
improvements, median improvements, roadway improvements that do not conform to City standards,
drainage improvements, and stormwater improvements within the Project that are located within
Burlingame Point's area of responsibility (collectively, the "Improvements") as depicted on Exhibit B,
attached hereto, consistent with Burlingame Point's Maintenance Obligations. Burlingame Point shall
further perform the following with respect to the Improvements, consistent with the operation of the
Project and the Improvements as part of a Furst -class project:
a. Regularly maintain, repair and replace the Improvements, including but not
limited to hardscape features such as walkways, paths and similar features, plazas, and decorative and
emergency lighting, in a good condition and in a way that presents a healthy, neat and orderly appearance;
b. Perform landscape maintenance within all landscaped and open space areas,
including regular watering and irrigation; fertilization; periodic trimming, mowing, and/or edging of grass
and lawn areas; pruning of trees, shrubs, and other vegetation; trimming and shaping of trees and shrubs
to maintain a healthy, natural appearance, safe road conditions and visibility, and irrigation coverage; and
removal and replacement, as needed, of all plant materials; control of weeds in all planters, shrubs, lawns,
ground covers, or other planted areas;
C. Maintain all plazas, open space, sidewalks, paths and other paved areas in clean
and weed -free condition, and keep such areas reasonably clear of dirt, mud, trash, debris or other matter
which is unsafe or unsightly;

acceptable to the City and in compliance with all federal, state and local law and regulations, including
the City's NPDES permit from the Regional Water Quality Control Board; and
e. Perform such other acts that are reasonably necessary or desirable to preserve and
protect the Improvements and the appearance, safety and operation thereof in accordance with this
Agreement and the foregoing standard.
2. Reservation of Management Authority. Burlingame Point reserves the right to delegate
its obligations under this Agreement to an agent or manager or to designate another party to perform the
rights and obligations of Burlingame Point at its sole discretion (such party, a "Third -Party Manager").
Burlingame Point's appointment of a Third -Party Manager shall not relieve Burlingame Point of its
obligations under this Agreement.
3. Compliance with Applicable Laws. All maintenance work shall conform to all
applicable federal and state Occupation Safety and Health Act standards and regulations for the
performance of maintenance. Any and all chemicals, unhealthful substances, and pesticides used in and
during maintenance shall be applied in accordance with all governmental requirements.
4. Changes and Modifications to Improvements. If Burlingame Point determines that
changes or modifications to the Improvements are reasonably necessary to ensure that the Improvements
are adequately maintained and continue to function as originally designed and approved by the City,
Burlingame Point shall notify the City in writing of such determination and of the changes/modifications
that Burlingame Point believes to be necessary and submit (if necessary) a building permit application,
complete with plans, to the City for approval.
5. City's Responsibilities. Nothing in this Agreement shall limit the City's responsibility to
maintain the structural integrity of the public streets or other improvements within the areas depicted
within City's area of responsibility as shown on Exhibit B attached hereto, including but not limited to
traffic signals, street lights, street signage, bioretention areas within the City's right -of way, and utilities
(including pump station, sewer mains, water lines, purple pipe, and storm drain infrastructure within the
City rights -of -way).
6. Encroachment Permit,• Right of Ent . Burlingame Point and the City acknowledge
that, to the extent that the Improvements are located within the City rights -of -way, Burlingame Point will
be required to obtain encroachment permit (or permits) from the City to allow Burlingame Point to
perform its obligations under this Agreement. The City agrees to expedite review and approval of any
application for an encroachment permit pursuant to this Section 6. The permit shall set forth the terms and
provisions upon which Burlingame Point has a right to enter into such rights -of -way in order to perform
maintenance, inspection, repair and, if and when necessary, replacement services (collectively,
"Maintenance Services"), consistent with the following.
a. Permitted Uses. Burlingame Point may enter upon such Improvements as are
located within the City rights -of -way, and may temporarily block reasonably necessary portions of the
adjoining street surfaces, solely for the purpose of performing Maintenance Services, and incidental
purposes thereto, such as operating equipment and storing materials during the period maintenance
services are being performed. Burlingame Point shall not use such areas for any other purpose.
b. Insurance. Burlingame Point shall obtain and deliver to the City, at no cost to
the City, certificates of comprehensive public liability and property damage insurance naming City, its
officers, agents, and employees as additional insureds in a combined single limit of $2,000,000.00 for the
death and injury of any persons in any one occurrence; and for property damage in any one occurrence. A

certificate of said insurance policy shall be provided to Owner prior to commencement of any work
within the City rights -of -way pursuant to this Agreement.
C. Permits and Annrovals. To the extent that performance of the Maintenance
Services or other Activities requires other governmental permits or consents from agencies other than the
City (such as the San Francisco Bay Conservation and Development Commission or State Lands
Commission), Burlingame Point shall, at its sole cost and expense, diligently pursue obtaining such
approvals or consents at its own expense.
7. City's Rights to Cure. If Burlingame Point does not repair, periodically inspect,
maintain, care for and, if and when necessary, replace the Improvements on and about the Property in the
manner set forth above, the City shall have the right to maintain, repair, periodically inspect, care for, and
replace such Improvements, or to contract for the correction of such deficiencies, after providing written
notice to Burlingame Point.
a. Notice to Burlingame Point. Prior to taking any such corrective action, the City
agrees to notify Burlingame Point specify any deficiencies and the actions required to be taken by
Burlingame Point to cure the deficiencies. Upon receiving notice, Burlingame Point shall have thirty days
to correct, remedy or cure the alleged deficiency. In cases of emergency, the City's notice shall state that
the deficiency is urgent and relates to the public health and safety, in which case Burlingame Point shall
have twenty-four hours to take reasonable steps to address the problem.
b. Costs of Required Maintenance. In the event that Burlingame Point fails to
correct, remedy, or cure or has not commenced correcting, remedying or curing such deficiency after
notification and after expiration of any applicable cure period, then City shall have the right to maintain,
repair, care for and, if and when necessary, replace such Improvements at Burlingame Point's expense.
Burlingame Point agrees to pay the City upon demand all charges and costs reasonably incurred by the
City for such maintenance, repair and replacement work.
C. Legal Action. The City may bring legal action to collect the sums due as the
result of expending public monies to maintain, repair and, if necessary, replace any Improvements which
are the responsibility of Burlingame Point as provided under this Agreement.
d. Additional Remedies. Burlingame Point acknowledges and agrees that the City
may also pursue any and all other remedies available in law or equity in the event of a breach of
Burlingame Point's obligations and agreements set forth herein.
e. Intention of City. Nothing in this Section 7 shall be construed, either expressly
or by implication, as indicating an intention of the City to exercise dominion or control over the
Improvements.
S. Maintenance Bond. Upon completion of the Improvements within the City's,
Burlingame Point shall provide the City with a maintenance bond or similar surety in a form to be
approved by the City to provide security for Burlingame Point's obligation to repair or replace any
Improvements within the City's area of responsibility against defects in workmanship, materials or
installation for a period of five years after acceptance of such Improvements by the City. The
maintenance bond or similar surety shall reflect the cost of the Improvements within the City's area of
responsibility as shown on Exhibit B, including but not limited to new traffic signals, street lights, street
signage, street pavement, bioretention areas within the City's right -of way, and utilities (including the
sanitary sewer pump station, sewer mains, water lines, purple pipe, and storm drain infrastructure within
the City rights -of -way).

9. Term. This Agreement shall commence immediately upon the Effective Date and shall
continue in perpetuity until and unless terminated by the City. In the event that the City determines that
the maintenance obligations under this Agreement are no longer required, then the City, at the request of
the Burlingame Point, shall execute a release of this Agreement, which Burlingame Point shall record in
the County Recorder's Office at its sole expense.
10. Indemnification. Burlingame Point agrees, while engaged in the performance of all
Maintenance Obligations provided for in this Agreement, to place and maintain suitable safeguards
sufficient to prevent injury to any persons and to indemnify, defend and save harmless the City, its
officers, representatives, and employees from and against any and all claims for loss, injury or damage
(the "Claims") resulting from the prosecution of said work except to the extent any Claim arises out of the
negligence or willful misconduct of the City.
11. Default. The failure to maintain the Improvements will constitute an event of default.
Upon such event of default, the City shall provide written notice to Burlingame Point. Upon receipt of the
written notice, Burlingame Point shall have thirty (30) days to remedy such event of default (or such
longer period of time as may reasonably be required, provided that Burlingame Point shall commence to
remedy such default within thirty (30) days period and thereafter diligently prosecute such remedy to
completion). If Burlingame Point fails to remedy the event of default within the prescribed time period,
the City shall have the right to do all work necessary to remedy the event of default and charge
Burlingame Point actual costs incurred by the City for such work. Any disputes about the occurrence of
an event of default shall be resolved pursuant to the dispute resolution procedure set forth in Section 1 l .
12. Dispute Resolution. If either Party determines the other is in violation of one or more
terms of this Agreement of if there is a dispute with respect to scope of either Parties' respective
maintenance obligations, they shall provide notice to the other in writing of what actions or inactions they
deem to be in violation. Within thirty (30) days of receipt of such notice, the party receiving the notice
shall respond to the notice in writing. If the Parties still dispute compliance with this Agreement, within
an additional sixty (60) days, the Parties shall meet and confer in a good faith attempt to resolve their
dispute.
13. No Impairment of Mortgagee. No violation or breach of the agreements, conditions,
restrictions, provisions or limitations contained in this Agreement shall defeat or render invalid or in any
way impair the lien or charge of any mortgage, deed of trust or other financing or security instrument;
provided, however, that any successor of Burlingame Point to the Project site or any portion thereof shall
be bound by such agreements, conditions, restrictions, limitations and provisions, whether such
successor's title was acquired by foreclosure, deed in lieu of foreclosure, trustee's sale or otherwise.
14. Covenants Run with the Land. All of the provisions, agreements, rights, powers,
standards, terms, covenants and obligations contained in this Agreement shall constitute covenants that
shall run with the land comprising the Property, and the burdens and benefits of this Agreement shall be
binding upon, and shall insure to the benefit of, each of the Parties and their respective heirs, successors,
assignees, devisees, administrators, representatives and lessees, except as otherwise expressly provided in
this Agreement.
15. Assienment by Burlingame Point. Burlingame Point may assign its obligations under
this Agreement only with the prior written approval of the City, not to be unreasonably withheld,
conditioned or delayed. In connection with any such assignment, Burlingame Point and its assignee shall
execute and deliver to the City a written assignment and assumption agreement in a form acceptable to
the City Attorney. Burlingame Point may sell and/or grant the fee interest of the Property and to thereby

transfer all of its obligations under this Agreement to its successors. Upon the sale or grant of a fee
interest in the Property, Burlingame Point's obligations under this Agreement shall inure to its successor -
in -interest and Burlingame Point shall thereafter be released from its obligations under this Agreement
with respect to the portion of the Property conveyed.
16. Notices. Any notices relating to this Agreement shall be given in writing and shall be
deemed sufficiently given and served for all purposes when delivered personally or by generally
recognized overnight courier service, or five (5) days after deposit in the United States mail, certified or
registered, return receipt requested, with postage prepaid, addressed as follows:

17. MISCELLANEOUS.
a. Entire Agreement, Amendments. This Agreement contains the entire
understanding and agreement of the parties. This Agreement may be altered, amended or modified only
by an instrument in writing executed by the Parties.
b. Recitals. The Recitals are hereby incorporated by reference into the terms of this
Agreement.
C. Governing Law. This Agreement shall be construed and governed in accordance
with the laws of the State of California. Venue shall be a court of competent jurisdiction in the County of
San Mateo.
d. Counterparts. This Agreement may be executed in any number of counterparts,
which together shall constitute the Agreement of the Parties.
e. Exhibits. Any and all exhibits and schedules attached or to be attached hereto are
hereby incorporated and made a part of the Agreement by reference.

f. Severability. If any term, provision, covenant or condition of this Agreement is
held to be invalid, void or unenforceable, the remainder of its provisions shall remain in full force and
effect.
g. Authority. Each person executing this Agreement on behalf of a Party represents
and warrants that such person is duly and validly authorized to do so on behalf of the entity it purports to
bind and if such party is a partnership, corporation or trustee, that such partnership, corporation or trustee
has full right and authority to enter into this Agreement and perform all of its obligations hereunder.
h. No Agency Relationship. Neither Burlingame Point nor any of Burlingame
Point's agents, contractors or subcontractors are or shall be considered to be agents of City in connection
with the performance of any of Burlingame Point's obligations under this Agreement.
i. Attorneys' Fees and Costs. Either party may bring a lawsuit to enforce or
require performance of the terms of this Agreement, and the prevailing party in such suit or proceeding
shall be entitled to recover from the other party's reasonable costs and expenses, including attorneys' fees.
