APPROVING FINAL MAP ENTITLED "UNIT NO.1 14ILLSDALE INDUSTRIAL PARK BIIRLINGAME AND " DIRECT - AGREEMENT MATEO CO?JNTY, CALIFORNIA, ING EXECUTION OF MPROVEMENTSO CONSTRUCT RESOLVED by the City Council of the City of Burlingame, California, that WHEREAS, the proposed final map entitled "UNIT N0. 1 ILLSDALE INDUSTRIAL PARK BURLINGAME SAN MATEO COUNTY CALIFORNIA" of Commission as been recommended for approval by the Planningand said map aid City and submitted to the City Council thereof, as been checked and approved by the City Engineer for engineering ata and by the City Attorney with reference to all legal forms d notes used in affidavits, certificates, endorsements end offers d acceptances of dedications and the seals required by law, and ther general legal form thereof; and a corporation, WHy,REAS, ATLANTIC LIFE INSURANCE COMPANY, s OWNER, and MILLWOOD DEVELOPMENT COMPANY, a corporation, as ubdivider thereof, have executed and submitted to said City ouncil for execution an agreement in writing by the terms of hich subdivider agrees to construct and install public improve- ents within the area delineated on said map in the approximate ount of $$380,000.00 in accordance with City requirements, and in good and workmanlike manner, and under the direction and to the atisfaction of the City Engineer, as more particularly set forth n said agreement and to commence work on the 2nd day of August, 954, and to complete said work within 365 calendar days thereafter d the owner and Subdivider have executed and presented with cceptable surety or sureties a faithful performance bond in the um of $380,000.00, and a labor and material bond in the sum of $190,000.00 as security for the performance of said agreement, as required by Section 1993 of the City of Burlingame Ordinance Code, and said bonds having been duly approved by the City Attorney of said City; now, therefore, it is ordered as follows: 1. That said final map entitled "UNIT NO. 1 MILLSDALE INDUSTRIAL PARK BURLINGAME SAN MATEO COUNTY CALIFORNIA" as hereinabove set forth, be, and the same is hereby, approved, and the offers of dedication thereon set forth, be, and the same are hereby accepted, and the Clerk of said City be, and he is hereby, authorized and directed to endorse thereon over his signature an order of this Council approving said map and accepting the said offers of dedication thereon, and to affix thereto the corporate seal of said City of Burlingame. 2. That said agreement and bonds be, and the same are hereby, accepted and approved, and the Mayor of said City be, and he is hereby authorized and directed to affix thereto the name of said City over his signature, and the Clerk of said City is hereby authorized and directed to attest the signature of said Mayor and affix thereto the corporate seal of said City. Subdivider will do and perform and cause to be done and performed in a good and workmanlike manner, under the direction and to the satisfaction_ of the City Engineer of City, all of the following work and improvements, to -wit: Improvement to all roads, shown on said map, by paving,gradin;, the installation of sidewalks, curbs, gutters, sanitary sewers, storm drains, manholes, street lightinn system and street signs, fire alarm water syste� complete, tree planting, including , but not limited to, the additional planting necessary in the 25 foot planting, strip, the construction of open canals including lining and fencing, the construction of a drainage pumping station and sewer lift station with intercepter sewer to the City System. 2. Work; Streets to be Improved. The names of all streets to be improved pursuant to the provisions of this agreement are set forth upon the final map of Unit No. 1 Millsdale Industrial Park_, BurlinZame, California, heretofore presented to the City for acceptance, which said names and which said map are hereby made a part of this agreement by reference. 3. Work; Places and Grades to be Fixed by Engineer. All of said work is to be done at the places, of the materials, and in the manner, and to the grades shown upon the plans and specifications therefor to be approved by the City Engineer and to be filed in the office of the City Clerk of said City, and to the satisfaction of said City Engineer and said City Council. 4. tdork; Time for Commencement and Performance. City hereby fixes the time for the commencement of said work to be on the 2nd day of August, 1954, and for its completion to be within 365 calendar days thereafter. It least fifteen days prior to the commencement of work hereunder, Subdivider shall notify City Engineer in writing of the date fixed by it for commencement thereof, so that City Engineer shall be able to provide services of inspection thereof. 5. Repairs and Replacements. Subdivider shall replace, or have replaced, or repair, or have repaired, as the case may be, or pay to the owner, the entire cost of replacement or repairs, of any and all property, damaged or destroyed by reason of any such work done, whether such property be owned by the United States or any agency thereof, or the State of California, or any agency or political subdivision thereof, or by the City or by any public or private corporation, or by any person whomsoever, or by any combination of such owners, and Subdivider will furnish sat- isfactory evidence of bein.g covered by property* damage insurance, such evidence shall be satisfactory to the City both as to amount and to carrier. 6. Utility Deposit - Statement. Subdivider shall file with the City Clerk, prior to the commencement of any work to be performed within the area described by said map, a written statement signed by Subdivider, and each public utility 2. t corporation involved, to the effect, that Subdivider has made the deposit legally required by such public utility corporation for the connection of any and all public utilities to be supplied by such corporation within such subdivision. 7• Incidental Expenses. All incidental expenses incurred by City for Engineering services for reviewing and for checking plans and/or specifications and/or cost estimates, proposals, inspection of work and all other incidental expenses, shall be paid to City by Subdivider within ten (10) days after billing by City. 8. Termination of Agreement; Grounds. If Subdivider refuses or fails to obtain prosecution of he work, or any severable part thereof, with such diligence as w4-11 tnsure its completion within the time specified, or any extensions thereof, or fails to obtain completion of said work within such time, or if the Subdivider should be adjud"ed a bankrupt, or it should make a general assignment for the bene- fit of its creditors, or if a receiver should be appointed in the event of its insolvency, or if it, or any contractor employed by it, should violate any of the provisions of this agreement, the City Engineer o_" the City Council may serve written notice upon it its sureties of its intention to terminate this contract, such notice to contain the reasons for such intention to terminate this contract, and, unless within five days after the serving of such notice, such violations shall have ceased and satisfactory arrangements for the correction thereof shall have been made, this agreement may, at the option of the City, upon the expiration of said time, cease and terminate. 5. Termination of Agreement, Performance by Sureties or City. In the event of any such termination, the City shall immediately serve written notice thereof upon the Subdivider and upon its sureties, and the sureties shall have the right to take over and complete the work and the improvement herein specified; provided., however, that if the sureties within five days after the serving upon them of said notice of termination do not give the City written notice of their intention to take over the performance of ti,le contract, and do not commence performance thereof within five days after notice to the City of said election, the City may take over 3• the work and prosecute the same to completion, by contract or by any other method it may deem advisable, for the account, and at the expense of Subdivider, and its sureties shall be liable to the City for any excess cost or damages occasioned the City thereby; and, in such event, the City, without liability for so doing, may tare possession of, and utf_lize in completing the work, such material, appl- fiances, plant and other property belonging to the Subdivider as may be on the site of the work and necessary therefor. 10. ±Notices. Any notice herein required to be given by Subdivider or sureties to City shall be given to City Engineer of said City. Any notice to''be given by City shall be signed by said City Engineer, served personally upon Subdivider or its sureties, or deposited in the United States '_post Office in the City of Burlingame, registered mail and postage prepaid, addressed as follows. We have obtained authorization from our Headquarters Office to bear the entire cost of constructing one new culvert under the Bayshore Freeway under certain conditions as follows: 1. The size and location of this culvert will be deter- mined as your drainage plans are developed. 2. You will be required to utilize the full capacity of the existing 61 x 51 and 81 x 41 concrete culverts at Stations 473+19 and 456+50. 3. The subdivider must agree to construct a complete drainage system for the Mills Estate including adequate approach and outlet channels to the two existing boxes and the new box to be constructed. 4. The City of Burlingame must agree to maintain the inlet and outlet channels and to protect the State from any liability due to changes in the present drainage pattern.
