RESOLUTION OF THE CITY COUNCIL OF THE CITY OF BURLINGAME
AUTHORIZING THE CITY MANAGER TO SIGN AGREEMENT WITH
WILSEY HAM FOR PROJECT MANAGEMENT SERVICES
FOR CITY PROJECT NO. 8926 — BEACH ROAD BICYCLE/PEDESTRIAN BRIDGE
RESOLVED, by the City Council of the City of Burlingame:
WHEREAS, the City is ready to begin construction of a replacement bridge to connect
Beach Road with the Anza Lagoon and Bayfront trail system; and
WHEREAS, Wilsey Ham has provided design services for the development of Project No.
8926 and is very familiar with the area and the project; and
WHEREAS, Wilsey Ham is qualified to provide project management services during
construction; and
WHEREAS, it is in the best interests of the City to retain Wilsey Ham to provide those
professional services for this project,
NOW, THEREFORE, IT IS ORDERED:
1. The Agreement with Wilsey Ham attached hereto as Exhibit A is approved, and the City
Manager is authorized to execute the Agreement for and on behalf of the City of Burlingame.
2. The City Clerk is directed to witness the
behalf of the City.

AGREEMENT FOR PROFESSIONAL SERVICES
BEACH ROAD BIKE / PEDESTRIAN BRIDGE PROJECT
CITY PROJECT NO,
THIS AGREEMENT, made in duplicate and entered into this day of
1998, by and between the CITY OF BURLINGAME, a municipal corporation,
hereinafter referred to as "CITY", and WILSEY HAM, hereinafter referred to as
"CONSULTANT":
WITNESSETH:
WHEREAS, CITY is desirous of employing CONSULTANT to provide services
hereinafter set forth; and
WHEREAS, CONSULTANT has submitted a proposal to CITY wherein it represents that
it is qualified and competent to perform such services and CITY proposes to employ
CONSULTANT to perform such services pursuant to the terms and conditions hereinafter set
forth:
NOW, THEREFORE, IT IS HEREBY AGREED AS FOLLOWS:
1. Employment
CITY employs CONSULTANT to perform the services set forth in EXIIIBIT "A"
and CONSULTANT accepts such employment and agrees to perform such services.

2. Term of Agreement
Said services shall continue until the completion of the tasks set forth in EXHIBIT
3. Compensation
Payment is to be based on hourly rates plus expenses to a maximum amount as
indicated in EXHIBIT "A". Compensation under this AGREEMENT shall not exceed FORTY

FIVE THOUSAND SEVEN HUNDRED DOLLARS AND N0/100 ($45,700.00) unless
authorized in writing by both the CITY and CONSULTANT.
Monthly billings will be paid by the City within thirty (30) days of invoice date.
4. Termination
(a) CITY shall have the right to terminate the AGREEMENT at any time upon
written notice to CONSULTANT.
(b) In the event of such termination, CITY shall pay CONSULTANT its
compensation for all services provided under this AGREEMENT to the effective date of
termination, in accordance with EXHIBIT "A".
(c) •In the event that CONSULTANT shall fail or become unable for any reason
to provide and complete the services required to be provided by it hereunder, CITY may forthwith
terminate this AGREEMENT by written notice. In the event of such termination, CITY shall pay
CONSULTANT its compensation for all services provided to the effective date of termination.
Should CITY employ others to complete the work of this AGREEMENT, any costs of such work
over the amounts set forth in this AGREEMENT, any cost of such work over the amounts set
forth in this AGREEMENT shall be deducted from compensation owed CONSULTANT under
this paragraph.
5. Delays
CONSULTANT shall not be responsible for any delays in the performance of its
services hereunder caused by strikes, action of the elements, acts of any government, civil
disturbances or any other cause beyond its reasonable control, or for the expenses or consequences
arising from such delays.

6. Reliance on Professional Skill of CONSULTANT
It is mutually understood and agreed that the CONSULTANT possesses the
necessary professional skills to perform the services identified in this agreement and that the CITY
relies upon the skill of the CONSULTANT to do and perform its work.
7. Relationship of Parties
(a) It is understood that the contractual relationship of the CONSULTANT to the
CITY is that of independent contractor and all persons working for or under the direction of
CONSULTANT are its agents, servants or employees, and not agents, servants or employees of
CITY.
(b) CONSULTANT shall function as technical representative of CITY and all of
his activities under this AGREEMENT shall be carried out under the general supervision of the
City Director of Public Works. CONSULTANT'S records and correspondence concerned with
and pertinent to the project shall be available for review by the City Director of Public Works or
his representative.
(c) On completion of work, all original data, forms, plans, and specifications shall
become the property of CITY.
(d) CONSULTANT shall indemnify, defend and hold harmless CITY from and
against any and all liability, rising from negligent acts, errors or omissions of CONSULTANT
or his agents, in connection with the performance of the AGREEMENT, excepting only such
injury or harm as may be caused solely by an act or omission of the CITY.
8. CONSULTANT'S Insurance
CONSULTANT shall not commence work under this contract until he shall have
obtained all insurance required under this section. All liability insurance shall provide that
CONSULTANT'S coverage shall be primary and shall name City as an additional insured.

(a) Worker's Compensation Insurance CONSULTANT shall take out and maintain,
during the life of this contract, workers' compensation insurance for all his employees employed
upon City property. CONSULTANT shall indemnify City for any damage resulting to it from
failure of CONSULTANT to take out or maintain such insurance.
(b) Public liability and property damage insurance. CONSULTANT shall take out
and maintain during the life of this contract such public liability and property damage insurance
as shall protect City, its elective and appointive boards, officers, agents and employees and
CONSULTANT for damages for personal injury, including death, as well as from claims for
property damage which may arise from CONSULTANT'S operations under this contract, whether
such operation be by CONSULTANT or by anyone directly or indirectly employed by
CONSULTANT, and the amounts of such insurance shall be as follows:
1. Public Liability Insurance. In an amount not less than $100,000 for
injuries, including, but not limited to death to any one person and, subject to the same limit for
each person, in an amount not less than $300,000 on account of any one occurrence.
2. Property Damage Insurance. In an amount of not less than $50,000 for
damage to property of each person on account of any one occurrence.
(c) CONSULTANT shall carry professional liability insurance in limits not less
than $1,000,000 per occurrence and in the aggregate. All insurance shall be primary.
9. Proof of carriage of insurance.
CONSULTANT shall furnish satisfactory proof of carriage of the insurance
required to City concurrently with the execution hereof. Each policy shall provide for at least ten
(10) days prior written notice to City of the cancellation of any policy during the period of this
contract. All insurance shall be primary.

10. )Equal Employment Opportunity.
CONSULTANT warrants that it is an equal opportunity employer and shall comply
with applicable regulations governing equal employment opportunity. Neither CONSULTANT
nor its subcontractors do and neither shall discriminate against persons employed or seeking
employment with them on the basis of age, sex, color, race, marital status, sexual orientation,
ancestry, physical or mental disability, national origin, religion, or medical condition, unless based
upon a bona fide occupational qualification pursuant to the California Fair Employment & Housing
Act.
11. Conflict of Interest.
CONSULTANT understands that its sole, professional obligation is to the City
under this Agreement. Should CONSULTANT become aware that it or any of its subcontractors
has acquired or become involved in any matter that constitutes a potential conflict of interest with
its obligations under this Agreement, it shall immediately disclose that potential conflict to the
CITY, and unless it obtains the written consent of the CITY to continue to have the potential
conflict, it or its subcontractor shall immediately divest or no longer participate in the matter or
divest itself of the interest that has constituted the potential conflict.
12. Waiver.
No failure on the part of either party to exercise any right or remedy hereunder
shall operate as a waiver of any other right or remedy that parry may have hereunder, nor does
waiver of a breach or default under this Agreement constitute a continuing waiver of a subsequent
breach of the same or any other provision of this Agreement.
13. Representatives of CITY and CONSULTANT
hereunder.
The City Engineer or his designee shall represent the CITY in all matters

The designated Project Manager for CONSULTANT is FRANK TEDESCO who
shall represent the* CONSULTANT on all matters hereunder. The designated Project Manager
shall not be removed from the project without prior approval of CITY.
14. Assignment
Neither CITY or CONSULTANT shall assign, sublet or transfer its interests in this
AGREEMENT without the written consent of the other.
15. Amendments
This AGREEMENT may be amended or modified by written agreement signed by
both parties. Failure on the part of either party to enforce any provisions of this AGREEMENT
shall not be construed as a waiver of the right to compel enforcement of such provision or
provisions.
16. Notices
All notices shall be in writing and delivered in person or transmitted by certified
mail, return receipt requested, postage paid.

17. Interpretation
As used herein, any gender includes each other gender, the singular includes the
plural, and vice versa.

18. Venue
The applicable law for any legal disputes arising out of this contract shall be the law
of the State of California, and the forum and venue for such disputes shall be the appropriate
Superior or Municipal Court in and for San Mateo County.
IN WITNESS WHEREOF, the parties hereto have executed this AGREEMENT on the day

Dear Mr. Murtuza:
In accordance with your request there is forwarded herewith our proposal to extend our services
through the construction phase for the above referenced project. Our work would consist of four
phases.
1. Construction Surveying
2. Construction Services
3. Construction Inspection/Administration
4. Construction Testing
Construction Surveying
Surveys will be established and reference points (RP's) shown for the abutments and for the bridge
centerline.
One set of stakes (or pavement markings) will be supplied. Any replacements will be the
contractor's responsibility.
Construction Services
Construction services will only be performed at the request of the City. These services encompass
the following work, and/or other work the City may request:
• Attend pre-bid and pre -construction conference.
• Assist City in recommending award of contract.
• Respond to requests for clarifications of plans and specifications.
• Review shop drawings.
• Review only — not prepare contract change orders.
• Prepare drawings of record from contractoes marked -up plans.
• Other work requested by the City.

Construction Inspection/Administration
Wilsey Ham will provide inspection services to endeavor to determine if the work is being
performed in substantial conformance with the contract documents and to inform the City of any
observed defects or deficiencies. Wilsey Ham will indicate to the City when work requirements are
not being met and will note any need for consideration by the City for rejection of work or work
stoppage. Some of the specific work items will be to:
• Maintain a daily diary.
• Determine working/non-working days.
• - Maintain records in accordance with City requirements.
• Review the Contractor's monthly pay estimates and make recommendation for payment.
• Keep City personnel current on project developments.
• Provide monthly status report to City.
• Advise if contractor following behind published schedule.
• Prepare estimate of quantities and recommend partial payments.
• Prepare final punch list of items to be completed or corrected.
This scope does not include any supervision of the Contractor's or Sub -Contractor's work. It will
also be a contractual requirement that the contractor will have sole responsibility for safety on the
project.
Testing Geotech
The firm of Harza Engineering Company, is proposed as Wilsey Ham Subconsultant for materials
testing. Testing will be on an "as required" basis as determined by the City.
Olivia Chen & Assoc. will observe drilling and pouring of bridge abutment and concrete piles.
Work Specifically Excluded In This Scope
Work specifically excluded in this scope is any work required for obtaining grant monies for this
project.
Personnel
The Wilsey Ham personnel for this work will be as follows:
Frank Tedesco - Project administration and primary contact with the City.
Ralph Robinson - Construction administration and inspection and contact for technical matters
with the City and the Contractor.
Ken Moore - In charge of surveys.

Resumes of these personnel are attached hereto.
We propose that any contract resulting from this proposal include the contents of Exhibit A
(attached) to further define the role, duties and responsibilities of Wilsey Ham.
Attached is a cost estimate for the work described herein. This cost estimate is based on the
construction contract as now specified on the plans and specifications. Contract time will be 100
working days. If there are changes such as changes in the schedule which require changes in the
right of way easements such work will be considered as beyond the scope as proposed herein.

B. TRAVEL & TRANSPORTATION EXPENSES
1. Reimbursement for actual travel and subsistence expenses paid to or on behalf of employees on business connected
with the project, plus a handling charge of 15%.
2. Forty cents (40¢) per mile for use of vehicles. A minimum of nine dollars ($9.00) per hour will be charged for use
of vehicles carrying field survey equipment or used for field inspection and supervision.
C. OUTSIDE SERVICES
I. Invoice cost of services and expenses charged to Wilsey Ham by outside consultants, professional, or technical fi®s
engaged in connection with the order, plus 15% handling charge.
D. MISCELLANEOUS EXPENSES
1. The invoice cost of materials, supplies, reproduction work, and other services, including communication expenses,
procured by Wilsey Ham from outside sources, plus a handling charge of 15%. A➢ outof-pocket expenses not
included in Items A, B, and C will be included in this category.

With Wilsey Ham for over seven years, Mr. Tedesco is responsible for all
transportation projects. He is a "hands on" project manager and often acts as
the project engineer. He personally is the client contact, directing and planning
the design of the project, and the coordination with other agencies,.
Frank has managed many projects during his time with Wilsey Ham. Some of
the larger projects include freeway interchanges and new city streets such as the
revisions to the Route 85/280 Interchange in Cupertino, the Merrydale
Overcrossing in San Rafael, the "D" Street Overcrossing in Daly City and the
design of Carlos Bee Boulevard in Hayward.
Some of the smaller projects which Frank was personally involved include the
design of a bike lane and related drainage in Woodside, modifications to signal
systems in Fremont, and new curb & gutter, sidewalk replacement and street
widening in Milpitas.
Other roadway projects include a frontage road and bridge in Pacifica, slide
repair projects in Mendocino and Humboldt counties, roadway rehabilitation
projects, and revisions to ramps such as Hickey and Serramonte Boulevards in
Daly City. Related projects include a sign inventory project in Pacifica utilizing
GPS, and the design of Corporation Yard for the City of Half Moon Bay.
Many of these projects required permits from various agencies. The design of
an access road for the Carmel Area Wastewater District involved the State
Bureau of Parks and Recreation, County Flood Control, County Planning,
State Department of Fish and Game, Caltrans, Monterey Peninsula Water
Management District, Archy Corps of Engineers, and the Coastal Commission.
With Caltrans for over 35 years, Frank has produced many roadway projects
and has dealt with many agencies.
Some of the relevant project experience with Wilsey Ham is as follows:
James Avenue Reconstruction, Removal of existing street to new subgrade, from property line to property
Ciry olRedwood City line. Replaced with a new street section, curb and gutter, and sidewalk. New
street lighting was also included. City formed an undergrounding district, and
undergrounding of overhead utilities was included in the contract.. Performed
all survey work, PS&.E, and coordination with utility companies as well as
preparation of the undergrounding plans.

Carmel Access Road, Carmel, One half mile of two lane road from Route 1 to the Carmel Area Wastewater
CA Districts' Treatment Plant. Planning, design and construction services for an
"at grade" access road from Route 1 at the south Carmel City limits across a
flood plain to the treatment plant on the Carmel River. The road has to be
designed to allow water to pass under, and over, it. There were 11 agencies
involved, most required permits
Signal Revisions and
Interconnect - Callfomia Existing signal system upgraded to provide for future street requirements and

San Pedro Avenue Extension A two lane City street constructed within Caltrans' Right of Way,
City of Pacifica, CA approximately 1,200 feet, including a 130 foot bridge and upgrading and
revisions to an existing traffic signal on Route 1. Wilsey Ham, as prime
consultant, performed planning studies with various alternates, oversaw the
environmental studies and produced the design of the facility including
oversight of the structure design
g5/280Inteerbangein Prelin-unary design and final design of modifications to the 85/280
Cupertino - Santa Clara interchange in Cupertino, a Measure A Project. Work included the
County TraBicAuthoriry widening of the northbound direction of SR85, addition of slip ramps,
two new bridges, sound walls and retaining walls. Preparation of
construction plans and specifications including stage construction,
drainage, striping, lighting and irrigation
Bike Lane and Drainage Installation of 1,800' of drainage alongside of present two lane road and paving
Town of Woodside, CA over to create a bicycle lane. Connects to State Highway and encroachment
permit required. Design and construction involvement with property owners
Carlos Bee Boulevard A new city street paralleling the Campus which includes massive earthwork and
Hayward, CA many retaining walls and sound walls
City Corporation Yarn/ Preparation of construction documents for grading and paving of a 0.7 -acre
City of Half Moon Bay, CA parcel Also design of a 30' s 120' garage, security lighting, security fencing and
other related features including, drainage, sewerage and utilities. Project was
tailored to fit within a limited budget
Fairway Drive Aladdin Design of a new Overcrossing and street widening/modification including
Avenue Overcrossing oft -880 reinforced earth wall, drainage, utilities, and modification of traffic signals and
City of San Leandro, CA lighting. Preliminary design, project report and final PS&E.

Sign Inventory Inventory of signs and striping for 70 miles of Pacifica City streets. Project
City of Pacificq, CA included use of AutoCAD, GPS, camcorder, and laptop computer for creation
of a GIS containing all city maintained signs, stripping and curb markings. A
final report was prepared for California Shote Office of Traffic Safety.
Slide Repair, Route 299 Slide correction and road replacement including traffic control during
Humboldt County construction and extension of a 20 -foot arch culvert. Project won first place
Caltrans District 1 in the Caltrans Excellence in Transportation Facilities Category 10 for 1992.
Slide Repair Route 128 Slide correction on Route 128 due to erosion by the Navarro River. Designed
Mendocino County temporary traffic signals for one way traffic control Work was in a stare park

Wilsey Ham Duties, Responsibilities, and Limitations of Authority
Storm Drain Improvement Project

This is an Exhibit attached to, made part of, and incorporated by reference with the proposal dated
1997 to the City of for providing construction inspection services during
construction of the Storm Drain Improvement Project.
Services:
Services to be provided shall be as described in the main text as described in the Wilsey Ham
Proposal of 1 1997.
All services provided by Wilsey Ham, including its Subconsultants or agents, will be
performed under the direction and coordination of City's designated Project Engineer. At all
times, the Project Engineer will have the primary responsibility for the scheduling of Wilsey
Ham and directing its activities.
2. Limitations of Authority
a. Through the City requested on-site observations of the work in progress and field
checks of materials and equipment by Wilsey Ham or its Subcontractors, Wilsey Ham
shall endeavor to provide further protection for the City against defects and deficiencies
in the work of Contractor; but, the furnishing of such services will not make Wilsey
Ham responsible for or give Wilsey Ham control over construction means, methods,
techniques, sequences or procedures or for safety precautions or program, or
responsibility for Construction Contractor's failure to perform the Work in accordance
with the Contract Documents.
b. Additionally, Wilsey Ham and any representative of Wilsey Ham or its subconsultants:
(1) Shall not authorize any deviation from the Contract Documents or substitution
of materials or equipment unless authorized by the City.
(2) Shall not exceed limitations of Wilsey Ham authority as set forth in the
Agreement or the Construction Contract Documents.
(3) Shall not undertake any of the responsibilities of Construction Contractor,
Subcontractors or Construction Contractor's superintendent.

(4) Shall not advise on, issue directions relative to, or assume control over any
aspect of the means, methods, techniques, sequences or procedures of
construction unless such advice or directions are specifically required by the
Construction Contract Documents.

precautions and programs in connection with the Work.
(6) Shall not accept Shop Drawing or sample submittals from anyone other than the
City, or with the City's approval, directly from the Construction Contractor. No
such materials will be accepted for review directly from the Construction
Contractor's suppliers or Subcontractors.
